Highly regarded Dallas full-service mid-sized law firm seeks to add an Associate with Corporate experience. Specifically, the firm is looking for an Associate with 2 or more years of experience handling various corporate transactions, including mergers and acquisitions, joint ventures, corporate restructurings and securities offerings. Key responsibilities will include:

• Assisting with preparation, negotiation and execution of corporate transactions such as mergers, acquisitions, divestitures, joint ventures, financings and strategic alliances.
• Contract drafting and review including purchase agreements, confidentiality agreements, shareholder agreements, loan agreements and employment agreements.
• Ensure that contracts comply with applicable laws and regulatios
• Legal Research and Analysis including legal research and analysis on various corporate legal issues and prepare memoranda, legal opinions and other documents as required.
• Corporate Governance including ensuring clients comply with federal, state, and local regulations.
• Client Relations including serving as point of contact for clients and develop and maintain strong client relationships.
• Due Diligence in support of mergers and acquisitions and fiance transactions.
