Job Title: Internal Legal Counsel
Location: Austin, TX or Dallas, TX
About the Role: Stelvio is seeking a dynamic and experienced internal Legal Counsel to join our team in either Austin or Dallas, Texas. This role is ideal for a legal professional currently working in a law firm who is eager to transition to an in-house role. The position will focus on mergers and acquisitions (M&A), securities law, and providing general counsel support, with a preference for candidates with experience handling matters for public companies.
Key Responsibilities
M&A Transactions:
- Conduct due diligence and risk assessments for potential acquisitions.
- Structure and negotiate deal terms and agreements.
- Oversee integration of acquired companies from a legal perspective.
Securities Law Compliance:
- Ensure compliance with SEC regulations and reporting requirements.
- Advise on public disclosures and filings.
- Support compliance with stock exchange rules.
Corporate Governance:
- Advise on board meetings, governance policies, and committee practices.
- Manage shareholder relations and proxy statements.
- Ensure compliance with governance laws and regulations.
Contract Management:
- Draft and review commercial agreements, including vendor and client contracts.
- Negotiate contract terms and conditions.
- Mitigate risks through thorough contract evaluation.
Employment Law Support:
- Provide guidance on employee relations and workplace compliance.
- Advise on employment policies and internal investigations.
- Ensure legal adherence to labor laws and regulatory changes.
Other responsibilities as assigned.
Qualifications :
- JD degree from an accredited law school and active membership in good standing with the Texas State Bar.
- 5+ years of legal experience, with a strong background in M&A, securities law, corporate governance, and contract law.
- Experience working with or advising public companies, ideally in the technology sector.
- Proven ability to work independently, prioritize tasks, and manage multiple projects simultaneously.
- Experience in employment law, including advising on employee relations and compliance matters.
- Familiarity with Canadian corporate and employment law is a plus.
- Excellent communication, negotiation, and interpersonal skills.
Preferred Qualifications:
- Prior experience at a reputable law firm with a desire to move into an in-house counsel role.
- Understanding of the complexities of public company reporting and compliance.
