In-House Counsel

Provident Realty Advisors (“Provident”) is seeking a talented mid-level attorney with sophisticated commercial real estate transaction experience to fill the position of In-House Counsel.

The ideal candidate will have a solid background in various aspects of commercial real estate, including acquisitions, dispositions, financing, leasing, title and survey review, and property development.

Key Responsibilities:

In this role, you will serve as the sole in-house counsel for Provident’s diverse real estate portfolio, with a practice encompassing all legal aspects of the business, including acquisitions and dispositions, development, leasing, financing, construction, asset management, corporate governance, and risk management.


Negotiate and draft:

  • PSAs for raw land, developed single-family lots, multi-family, data centers, industrial, and other commercial properties
  • Letter agreements, title objection letters, escrow agreements, and closing documents
  • Leases for retail shopping center and other commercial property tenants
  • Easements and other property management documents
  • Loan documents and related financing agreements
  • Development agreements with cities, homebuilders, and commercial purchasers
  • Closing documents for sale of raw land and commercial properties
  • Entity agreements, corporate resolutions, JV documents, and consent and authority documents


  • Establish ownership and development entities.
  • Draft limited liability company, corporation, and limited partnership agreements; corporate resolutions; joint venture documents; consent and authority documents.
  • Oversee formation of PIDs, MUDs, TIRZs, WCIDs, and related public financing districts, together with negotiation and drafting of corresponding public financing reimbursement agreements.
  • Identify risk associated with operations, create mitigation strategies, and evaluate results.
  • Manage outside counsel in litigation, public financing, entitlement, eminent domain, and land use matters.
  • Negotiate and prepare leases and lease memoranda, REAs, declarations of CC&Rs, and related instruments for landlords and tenants in connection with the leasing of retail, industrial and office space.
  • Coordinate the origination of acquisition and construction loans, revolving lines of credit, and other real estate-secured loans, including due diligence, negotiation, drafting of loan documents, and legal opinions.
  • Conduct and coordinate title, survey, zoning, environmental, and corporate due diligence in connection with property acquisitions and financing transactions.
  • Collaborate with internal teams and clients to ensure successful execution of transactions.



Basic Qualifications:

  • J.D. degree from an accredited law school
  • Must be a member in good standing of the Texas State Bar
  • 5+ years of experience practicing Real Estate law with proven experience in acquisition, disposition, financing, leasing, title and survey review, and development of commercial real estate.
  • Proven experience in acquisition, disposition, financing, leasing, title and survey review, and development of commercial real estate.
  • Exceptional experience drafting and negotiating a variety of real estate transactional documents (i.e. leases, lease amendments, purchase and sale agreements, easements, development agreements, co-ownership agreements etc.).
  • Strong research and analytical abilities.


Preferred Qualifications:

  • Experience in a mix of corporate law firm and in-house work.
  • Insurance experience in areas associated with construction and real estate.
  • Familiarity with AIA suite of construction and design agreements.
  • Familiarity with lean principles of construction project delivery.
  • Ability to work independently and manage multiple complex transactions in a fast-paced environment.
  • Demonstrated ability to evaluate risk and to exercise sound legal judgment even in ambiguous situations.
