Job Description

Consistently voted one of Canada’s Top Employers, year over year, our client, a prestigious downtown Toronto law firm, situated within walking distance of Union Station and PATH connected, is currently looking to add to their award-winning team by adding an experienced Corporate Law Clerk to their ranks.

The ideal candidate for this role will have 5+ years of direct Corporate Law experience and will be proficient in:


  • Corporate Statutes & Regulations including PPSA, CBCA, OBCA etc.,
  • Drafting documentation related to annual resolutions, amalgamations, incorporations, dissolutions & financings
  • Conducting minute book reviews and maintaining corporate records
  • Managing reorganizations, share and asset purchase transactions
  • Preparing closing documents
  • Managing corporate searches and summarizing results


In addition to your proficiency in Corporate law, you will also be able to anticipate next steps in the process and will take the initiative to complete necessary tasks.


Strong technical skills including MS Office, Legal Kiosk, or other electronic minute book database are necessary to be successful in this role, as are the ability to work independently, manage competing priorities and meet tight deadlines.
