Job Summary
Corporate Counsel
Ubiquity Global Services seeks a VP-Corporate Legal to lead our legal function and provide support on a wide range of corporate matters including client contract management and negotiation, banking and leasing contract negotiations, corporate compliance with banking regulations and privacy related laws applicable to our business, managing and overseeing international legal resources, and providing guidance as needed on employment related matters. The position reports to the CFO but interacts with our entire executive team as needed.
Primary Responsibilities:
- Legal advice: Advising on a variety of legal matters, such as employment law, mergers and acquisitions, and regulatory compliance
- Contract management: Drafting, reviewing, and negotiating contracts
- Legal research: Conducting in-depth legal research for various corporate matters
- Legal compliance: Overseeing and advising on applicable regulatory compliance
- Legal documentation: Reviewing and curating legal documentation to protect the company's interests
- Legal guidance: Serve as trusted advisor for internal business clients across a range of cross- functional teams. Advise on a broad range of strategic legal and business matters, providing business-practical solutions
- Drive departmental initiatives, including the development or redesign of legal support processes and templates to increase efficiencies and better align to the needs of the business
- Advise on corporate governance matters, and board and corporate secretary responsibilities
- Draft resolutions, consents, governing documents, certificates, and minutes
- Draft and maintain governance-related policies and procedures
- Maintain corporate calendar and oversee preparation of board and committee materials
Requirements
- Juris Doctorate (JD) from ABA accredited university, membership in good standing of State Bar
- 8+ years legal experience with an emphasis in corporate law
- Experience in contract negotiation and administration
- Experience with employment law
- Exceptional organization and prioritization skills to effectively manage timelines and multiple projects
- Strong transactional skills with attention to detail
- Excellent interpersonal and communication skills
- Ability to exercise sound judgment, commercially focused legal advice and appropriately consider risks to the Company
- Ability to be highly collaborative and adaptive in a fast-paced, team-based, matrix environment
- Fluency in Spanish a plus
