Job Title : Intermediate Corporate Clerk

Job # : 16764

Job Type : Full time, permanent

Location: North York

Salary : $75,000

Remote Flexibility: Primarily in office

Our client, a regional prominent Toronto law firm is currently looking for an Intermediate Corporate Clerk. This firm has an excellent culture and a lot of career development opportunities.

Duties and Responsibilities:

- Draft corporate legal documents (i.e.: incorporations, amalgamations, arrangements, acquisitions, reorganizations, amendments etc.);

- Draft documentation related to mergers, acquisitions, share/asset purchase and sale transactions;

- Formulate and file business name, partnership and limited partnership registrations, amendments and/or renewals;

- Conduct due diligence reviews and rectify any deficiencies;

- Maintain and update minute books and files;

- Prepare and file annual returns, Forms 1 and 2 as required by the Corporations Information Act (Ontario)

- Provide support for trademark applications and prosecution;

- Mentoring junior clerks and reviewing junior clerks' work as needed;

- Coordinate multi-jurisdictional transactions with lawyers and clerks in other offices; and

- Perform general and annual corporate maintenance.

Requirements:

- 5+ years’ experience in corporate law;

- Law Clerk diploma or certificate from an accredited institute;

- Knowledge of corporate law in Canadian jurisdictions other than Ontario and Federal;

- Ability to meet tight deadlines and prioritize multiple projects while under pressure;

- Excellent communication, interpersonal and time management skills; and

- Strong proficiency with MS Office and Adobe.
