Position Summary:
The Corporate Counsel will be responsible for general corporate and transactional matters and contracts, and will assist in the corporate governance and securities functions of the Legal Department. This position will independently review and negotiate company commercial agreements and provide general corporate support for the business.
Key Accountabilities:
- Serve as the primary counsel for general corporate and commercial contract matters
- Partner with the Procurement Department and business leads to negotiate and draft contracts, covering areas across Store Operations, E-Commerce, Marketing, IT, Finance, Tax and Logistics
- Become familiar with privacy and cybersecurity to advise on various issues at The Children’s Place as they arise in contract negotiation
- Assist in the drafting and review of various SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and press releases
- Provide support for public company corporate governance matters, including drafting of board committee and shareholder outreach meeting minutes, assisting in management of strategic risk committee, and attending to the company’s corporate organizational needs
Education and Experience:
- Strong academic credentials, including a J.D. degree from an accredited law school and membership in good standing in at least one state bar
- 5+ years of experience in a law firm or a corporate in-house legal role
- Experience negotiating a wide variety of corporate and commercial contracts, including software/IT services, NDAs, equipment leases, e-commerce agreements, supply chain, consulting and other operations agreements
- Experience in drafting public company corporate governance documents a plus
