Corporate Paralegal - Elite Venture Capital Firm
A leading, multi-stage venture capital firm based in Menlo Park is seeking a Corporate Paralegal to join its legal team. This role will support fund operations, venture and private equity investments and exits, and capital markets. You will also play a key role in implementing processes and tools to support the legal function’s growth in this rapidly scaling firm.
This is a hybrid role, with an in-office requirement of 3 days/week at either the San Francisco or Menlo Park office.
Key Responsibilities:
- Draft, execute, and manage fund offering materials, disclosures, partnership agreements and other fund legal documentation.
- Support venture and private equity investment and exit transactions, including due diligence, conflict checks, document preparation, closing mechanics and post-closing administration.
- Work closely with legal and finance teams to keep the fund’s internal operations running smoothly.
- Process stockholder consents and similar requests from the fund’s portfolio.
- Coordinate with outside counsel and service providers on legal matters and documentation.
- Review and negotiate short contracts such as vendor and non-disclosure agreements.
- Perform corporate housekeeping tasks, including document filing, data organization and daily tracking of documents.
- Collaborate on fund-wide initiatives and other special projects as needed.
Qualifications:
- Bachelor's degree with 5+ years of experience as a corporate paralegal preferred, but open to college graduates interested in gaining legal experience before attending law school as well.
- Corporate transactional, M&A, private equity, capital markets, and/or fund formation experience preferred.
- Excellent communication skills, both written and verbal.
- Highly organized with exceptional attention to detail and ability to manage multiple tasks.
- Proficiency in legal document management and related technology tools.
- Experience working on a dispersed team and/or for a large organization, managing communications across multiple teams.
