Associate General Counsel Position Summary
The Associate General Counsel (AGC) will work at the direction of the General Counsel in providing comprehensive legal services and guidance to the organization. This role involves advising on a broad range of legal matters, including contracts, litigation, real estate transactions, corporate acquisitions, regulatory compliance, labor/employment law, and corporate governance. The AGC will collaborate with internal teams and external stakeholders to ensure that the organization’s legal interests are protected and that its operations comply with all relevant laws and regulations.
Associate General Counsel Key Responsibilities
Legal Counsel & Advice:
- Provide legal guidance to senior management and various departments on a wide range of legal matters, including contracts, litigation, transactions, compliance, and risk management.
- Draft, review, and negotiate contracts, including commercial, employment, vendor, and confidentiality agreements.
- Offer guidance on labor and employment law issues, including employee relations, terminations, compensation, and benefits.
Litigation & Dispute Resolution:
- Manage or oversee ongoing litigation and disputes, coordinating with external counsel as necessary.
- Develop strategies for dispute resolution, including settlement negotiations and alternative dispute resolution processes.
Real Estate Transactions:
- Provide legal guidance and support for real estate transactions, including negotiations and drafting transactional documents.
Corporate Acquisitions:
- Provide legal guidance and support for corporate acquisitions, including due diligence, structuring, negotiations, drafting transactional documents, and post-transaction integration.
Regulatory Compliance:
- Advise on legal and regulatory compliance (including contractor licensing), ensuring the organization adheres to federal, state, and local laws across various jurisdictions.
- Assist in developing policies and procedures that help mitigate legal risks.
Risk Management:
- Identify and assess legal risks, providing proactive solutions to mitigate those risks.
- Support the organization’s risk management and insurance efforts, including assessing liability and overseeing claims.
Legal Research & Documentation:
- Conduct legal research to support organizational decisions, keeping abreast of changes in laws and regulations.
- Prepare legal memoranda, policies, and other documentation as needed.
Corporate Governance:
- Assist in managing corporate governance matters, including board and committee meetings, corporate filings, and maintaining corporate records.
- Ensure compliance with internal policies and procedures and with external regulatory requirements.
Team Collaboration:
- Work closely with other departments, including HR, Finance, Operations, and Marketing, to provide legal insights that align with organizational goals.
- Collaborate with outside legal counsel for specialized legal support as needed.
Associate General Counsel Qualifications
- Education:
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the state bar in Arkansas.
- Experience:
- Minimum of 5 years of legal experience.
- Experience in a wide range of legal areas, including contracts, commercial transactions, corporate law, regulatory compliance, and labor/employment law.
- Proven track record of managing complex legal matters and providing sound legal advice.
- Skills & Competencies:
- Strong written and verbal communication skills, with the ability to simplify complex legal concepts for non-legal stakeholders.
- Ability to analyze complex legal issues and provide practical, business-oriented solutions.
- Detail-oriented with strong organizational and time-management skills.
- Strong negotiation skills and the ability to work effectively with both internal and external stakeholders.
- Knowledge of relevant industry regulations and best practices.
- Desirable Skills:
- Experience in construction law.
- Leadership experience or the potential to grow into leadership roles within the legal department.
Associate General Counsel Physical Demands
- Occasional travel may be required depending on the organization’s needs.
- Ability to work both independently and as part of a collaborative legal team.
