Job Summary :
A rapidly growing hedge fund is seeking an Associate General Counsel to join their dynamic legal team. The ideal candidate will have 3-7 years of experience with a strong background in fund formation, investment management, and transactional matters, preferably within the hedge fund or broader investment management industry. This role offers a unique opportunity to work in a fast-paced, entrepreneurial environment and contribute directly to the firm's growth and success.

Key Responsibilities :

  • Fund Formation : Advise on and manage the legal structuring, formation, and maintenance of investment funds, including drafting and negotiating fund offering documents and related agreements.
  • Transactional Support : Provide legal guidance on transactional activities, including M&A, joint ventures, and strategic partnerships involving the firm and its portfolio companies.
  • Regulatory Compliance : Collaborate with compliance teams to ensure adherence to SEC regulations and other applicable laws governing hedge funds and investment management entities.
  • Corporate Governance : Advise on governance matters, draft board resolutions, and assist with the oversight of fund and management company governance structures.
  • Contract Negotiation : Draft, review, and negotiate a variety of contracts, including service agreements, side letters, and other fund-related agreements.
  • Risk Management : Identify and mitigate legal risks associated with the firm's operations and transactions.

Qualifications :

  • Experience : 3-7 years of relevant legal experience in fund formation, investment management, and transactional law.
    • Prior experience at a leading law firm, hedge fund, or investment management company is strongly preferred.
  • Education : J.D. from a top-tier law school and active membership in at least one state bar.
  • Expertise :
    • Comprehensive understanding of securities laws, including the Investment Advisers Act and other regulatory frameworks applicable to hedge funds.
    • Strong drafting and negotiation skills for complex legal documents.
  • Skills :
    • Exceptional analytical and problem-solving abilities.
    • Ability to manage multiple projects and deadlines in a fast-paced environment.
    • Excellent interpersonal and communication skills, with the ability to collaborate across teams.
