General Counsel - Bay Area Biotech
This role is with a fast-growing, innovative biotech company. As they prepare for their IPO, they are looking for a strategic and experienced General Counsel to join their executive leadership time. This individual will play a pivotal role in ensuring compliance, governance, and strategic legal oversight in a complex and highly regulated industry.
Position Summary:
The General counsel will provide expert legal guidance to the executive team and board of directors. This role involves overseeing all legal and compliance matters, supporting corporate governance, managing risks, and contributing to strategic decision-making. The General Counsel will also be instrumental in navigating the regulatory environment, particularly in connection with clinical trials, intellectual property, and public company readiness.
Key Responsibilities:
- Serve as a trusted advisor to the CEO, executive team, and board of directors on legal, regulatory, and compliance matters
- Develop and implement the company's legal strategy to support business objectives and minimize risks
- Oversee all legal aspects of the company's IPO process, including compliance with SEC regulations, drafting and reviewing public filings, and advising on corporate governance
- Oversee the development, protection, and enforcement of the company's intellectual property portfolio
- Identify, assess, and mitigate legal risks across the business, including operational, regulatory, and reputational risks
- Develop and implement risk management policies and procedures
Qualifications:
- Juris Doctor (JD) from an accredited law school
- Significant experience in the biotech, life sciences, or pharmaceutical industry
- Proven track record of guiding a company through an IPO
- Deep knowledge of biotech industry regulations, including FDA and SEC requirements
- Strategic thinker with the ability to balance legal risks with business goals
