JOB DESCRIPTION
Corporate/Contracts Paralegal will be assigned to the corporate legal department and will be primarily responsible for preparing and maintaining corporate minute books and assisting in-house counsel in corporate transactions and reviewing, drafting, negotiating various contracts, in addition to the following responsibilities
:
General Office/Legal Matter
- s:Serve as point of contact between the Legal Department and various business functions on contract matte
- rsPrepare, review, and negotiate various contracts under supervision of corporate couns
- elSupport in-house counsel and other members of law department in various legal matters and be responsible for managing and administering flow of contrac
- tsCoordinate with internal business teams for contract reques
- tsAssist with other transactional legal matters as need
- edPrepare corporate legal documents such as articles and bylaws, corporate resolutions, stock and asset transfer documents, and request for EI
- N.Maintain corporate minute books for multiple corporation
- s.Organize and maintain multiple ERISA plans and summary plan description
- s.Organize and maintain transaction document
- s.Provide transactional support in the acquisition of entities and/or assets, financing arrangements and other organizational transactions, including restructuring of subsidiaries, sale of assets, recapitalization and formation or dissolution of subsidiaries in the U.S. and/or foreign jurisdiction
- s.Track, monitor and assist with various company registrations and/or renewals of permits and license

Qualificati
- ons:Minimum five years of experience as a contracts and corporate paralegal with law firm or corporate law departm
- ent.Proficiency in Microsoft Office, including Outlook, Excel and Word. Knowledge of SAP helpful but not required. Knowledge of iManage or other matter management system helpful but not requi
