Location: Midtown Manhattan (Hybrid)
Compensation: $550K-$650K all in
Our client, a $40 billion asset management firm is looking to add a Deputy General Counsel to their compliance team. The person in this role will be the #2 to the general counsel and will be responsible for working with many departments within the firm.
Responsibilities:
- New fund launches and other capital raising initiatives (recent initiatives have included BDCs, CLOs, commingled funds, funds-of-one, rated note feeders, and segregated mandates);
- Supporting and expanding existing products;
- Structuring/managing/negotiating joint ventures, M&A activity, balance sheet investments, etc.;
- Supporting the investment team (e.g., private investments, responding to liability management exercises, etc.);
- Negotiating a broad range of ordinary course agreements (e.g., NDAs, vendor agreements, third-party marketer and distribution agreements, etc.); and
- Providing advice and counsel to the compliance team.
Requirements:
- Have excellent academic and professional credentials, which will include extensive experience as in house lawyer at an asset manager;
- Know how to establish and support private investment funds;
- Deeply understand the Investment Advisers Act and will have working knowledge of the Investment Company Act and the Securities Act;
- Be aware of current developments in US and European regulation related to the investment management industry;
- Be a skillful negotiator of commercial/operational contracts; and
- Be licensed to practice law in New York.
