Vice President, Transactional Counsel

  • Full-time Direct Placement
  • Hybrid Model (Onsite 3x a week)


Summary

The Vice President, Transactional Counsel will be responsible for reviewing, preparing, negotiating and/or updating various contracts, including servicing agreements, securitization related documents, and secured transactions documentation. Additionally, this attorney will have responsibility for drafting corporate resolutions and secretarial certificates and maintaining executed versions of relevant contracts, including ensuring that relevant contracts are accurately cataloged and stored in the appropriate locations.

Responsibilities

· Draft, review, negotiate and revise servicing agreements, MSR purchase and sale agreements, other material contracts, securitization documentation, and NDAs, including amendments.

· Providing legal advice and support to the Sales team, Client Management team and Finance

· Provide support and oversight on client securitization transactions.

· Maintain executed copies of all contracts, including servicing agreements.

· Assist with the review of repurchase demands from investors and investor claims.

· Oversee contract management mailbox and respond to inquiries received.

· Assist with review of servicing-related issues such as MERS and GSE questions, POA/signing authority questions, title issues and questions, etc.

· Provide legal advice with respect to interpretation of contract provisions.

· Prepare corporate resolutions and secretarial certificates.

· Prepare due diligence responses for client loan sales and securitizations

Job Requirements

· Experience in drafting, reviewing and negotiating servicing agreements, mortgage loan securitization documents, mortgage servicing rights purchase and sale agreements, capital market contracts, etc.

· Experience with corporate governance matters

· Experience with capital markets agreements and reviewing MSR and loan purchase and sale agreements

· Experience reviewing and negotiating secured lending agreements

· Generally knowledgeable of federal and state laws and regulations governing mortgage servicing.

· Generally knowledgeable of the mortgage servicing industry.

· Familiarity with GSE requirements, Ginnie Mae, HUD, and VA guidelines.

Qualifications

· JD degree from an accredited law school and an active state bar membership in good standing.

· Minimum 5 years’ experience as a transactional attorney practicing law in-house or with a firm.

· General knowledge of the mortgage servicing industry from a transactional perspective.

· Excellent listening, verbal and written communication skills.

· Excellent organization, negotiation, leadership, and creative problem-solving skills, as well as an ability to collaborate and act decisively.

· Self-motivated, with an ability to manage multiple, competing priorities.

· Generally familiar with laws governing mortgage servicing as well as GSE, HUD, VA and Ginnie Mae guidelines.
