The Appraisal Institute is a leading professional association for appraisers that empowers valuation professionals through community, credentialing, education, body of knowledge and ethical standards. We are seeking an experienced Associate Counsel to provide critical legal guidance and support across a wide range of corporate, transactional, compliance, policy, and litigation matters. As a key member of the team, you will work closely with executive leadership, staff, board members, and national committees to help manage and minimize legal risks while enabling the achievement of business objectives.
Key Responsibilities:
Legal Guidance : Advise staff, Board of Directors, national committees, and other stakeholders on diverse legal issues, including antitrust, employment, intellectual property, governance, and more.
Document Review & Drafting : Draft, review, and revise bylaws, regulations, policies, and contracts. Ensure compliance with applicable laws and industry best practices.
Intellectual Property : Manage the Institute’s intellectual property portfolio, including trademark issues and copyright matters.
Governance & Compliance : Provide legal counsel regarding the application of bylaws, corporate governance structures, and accreditation matters.
Litigation Support : Collaborate with outside counsel on litigation strategy, manage discovery requests, and assist with motions and briefs.
Training & Education : Advise and train staff, members, and other stakeholders on legal compliance and best practices.
General Legal Counsel : Offer legal support across various operational areas, including privacy and data protection, ethics and standards, and educational programs.
Qualifications:
Juris Doctor (JD) degree from an accredited law school.
Active license to practice law in Illinois.
5-7 years of experience as in-house counsel or at a law firm, with a focus on corporate, compliance, or transactional law.
Experience in the nonprofit sector or with professional associations is a plus.
Strong knowledge of a wide range of legal areas, including antitrust, intellectual property, employment law, governance, and regulatory compliance.
Excellent communication, negotiation, and problem-solving skills.
Ability to manage multiple priorities and work effectively with diverse stakeholders.
