Job Description

We are seeking an experienced and highly motivated In-House Attorney to join our team. The successful candidate will provide legal guidance on day-to-day business operations, support corporate initiatives, and handle contract negotiations, drafting, and compliance matters. You will work closely with senior leadership and cross-functional teams to mitigate risk and facilitate business objectives.


Key Responsibilities:

  1. Legal Counsel & Risk Management

- Provide proactive and strategic legal advice to senior management, executives, and departments across the company.

- Assess and manage legal risks and ensure compliance with local, state, and federal laws, regulations, and industry standards.

- Draft, review, and negotiate contracts, agreements, and other legal documents, ensuring alignment with company objectives and risk tolerance.


2. Corporate Governance

- Advise on corporate governance matters, including corporate structure, board responsibilities, and regulatory requirements.

- Manage corporate filings and corporate records to ensure compliance with state and federal regulations.


3. Litigation Management

- Oversee and manage any ongoing or potential litigation, including working with external counsel to develop strategies, assess risks, and ensure timely resolution.

- Coordinate internal investigations and prepare responses to regulatory inquiries, claims, or disputes.


4. Compliance & Regulatory Affairs

- Ensure the company’s activities are in compliance with all applicable laws, regulations, and industry standards.

- Provide guidance on privacy and data protection laws, intellectual property matters, employment law issues, and other legal concerns.

5. Employment Law

- Advise on employment-related issues such as employee contracts, workplace disputes, terminations, and discrimination matters.

- Assist in the development and implementation of company policies to ensure compliance with labor laws and best practices


6. Contract Management

- Draft, review, and amend a wide variety of contracts, including vendor agreements, partnership contracts, NDAs, and customer agreements.

- Ensure all contracts are aligned with the company’s best interests and mitigate any potential liabilities.


7. Training & Education

- Conduct legal training for employees on various legal topics, including compliance, ethics, and risk management.

- Keep the business informed on changes in relevant laws and regulations.


8. Collaboration & Communication

- Work closely with other departments (Finance, HR, Operations, Marketing) to provide legal insights that align with business goals.

- Maintain a proactive and open line of communication with internal stakeholders to identify potential legal issues early.


Qualifications:


Education: Juris Doctor (JD) from an accredited law school.


Licensure : Active license to practice law in Nevada & California.


Experience:

- Minimum of 5 years of experience as an attorney, with a focus on corporate law, contract law, and transactional matters.

- Background in energy and policy preferred but not required

- Experience in an in-house legal role preferred.

- Experience in the energy sector is preferred but not required.

- Strong negotiation and drafting skills with the ability to explain complex legal issues to non-legal stakeholders.

Compensation:

- Competitive salary ranging from $150,000 to $200,000, based on experience and qualifications.

- Hybrid work schedule with partial remote work capability.
