Job Title: M&A Associate

Position Overview

We are seeking an M&A Associate to join our highly regarded Corporate practice in the New York office. The ideal candidate will have a passion for complex, high-stakes transactions and the ability to provide strategic legal guidance in a fast-paced environment.


Responsibilities

  • Advise clients on a wide range of M&A transactions, including public and private acquisitions, divestitures, joint ventures, and other strategic investments.
  • Draft, negotiate, and review purchase agreements, shareholder agreements, confidentiality agreements, and related transaction documents.
  • Conduct and coordinate legal due diligence to identify and mitigate potential risks.
  • Provide counsel on corporate governance, regulatory compliance, and transactional structuring.
  • Collaborate with cross-disciplinary teams, including tax, antitrust, and litigation attorneys, to address complex deal issues.
  • Build and maintain client relationships through excellent communication, responsiveness, and service.
  • Stay informed on market trends, legal developments, and emerging issues impacting M&A transactions.


Qualifications

  • Juris Doctor (J.D.) from a top-tier law school.
  • Admission to the New York State Bar (or eligibility to waive in).
  • 3-5 years of experience working on sophisticated M&A transactions, preferably in a leading law firm environment.
  • Exceptional drafting, negotiation, and analytical skills.
  • Strong organizational abilities and attention to detail, with the ability to manage multiple projects under tight deadlines.
  • Excellent interpersonal and communication skills, with a collaborative approach to teamwork.
  • A demonstrated commitment to the highest ethical and professional standards.
