Job SummaryThe Senior Counsel will support the General Counsel in providing legal advice, interpretation, and guidance to the Managing Members, leadership team, and staff members of the Northwest Seaport Alliance (“Alliance”) on a variety of topics through a collaborative and client-focused approach. This position will serve as staff’s primary counsel in assigned areas while also working to provide day-to-day advice and guidance and acting as a trusted advisor balancing legal considerations with practical business needs.Primary FunctionsProvide independent interpretation, advice, and guidance on day-to-day, and at times unusual, legal matters related to Alliance business. Works directly for the General Counsel and with staff, as needed, to develop strategies for handling various legal matters in a compliant, strategic, efficient, responsive, and highly professional manner with a focus on extraordinary client service.Effectively and professionally draft, negotiate, revise, review, and finalize various legal documents (contracts, leases, MOUs, license agreements, etc.), as well as internal memoranda, board resolutions and orders, agency policies and procedures, and a variety of other documents.Analyze potential challenges and/or risks arising from current and pending laws or the actions, decisions, policies, and practices of the Alliance and its staff. Conduct thorough risk assessments and assist in solving problems and developing effective mitigation measures while supporting business growth and innovation. Actively participate in continuous learning opportunities and activities that provide up-to-date knowledge of area of expertise, best practices, and legal developments.Research, analyze, interpret, apply, and advise on legal principles related to Alliance operations and business needs. Advise and educate staff on applicable laws and best practices, which could include leading training for staff.Direct and manage outside counsel to assist and represent the Alliance on a variety of matters.In the absence of the General Counsel, assist in legal matters affecting the Alliance.Required Education & ExperienceJuris Doctorate from an accredited school of law and active membership in the Washington State Bar Association is required.A minimum of 8 years of experience providing independent advice and representation to clients is required, as well as expertise in one or more of the following areas: real estate transactions (including commercial or industrial landlord/tenant contracts and leasing), environmental law (experience with the Clean Water Act, water quality and stormwater regulations ideal), and/or construction/public works disputes and contract drafting.Experience representing Washington state public sector clients and/or in a wide range of other business topics is preferred.Additional RequirementsKnowledgeKnowledge of federal, Washington state, port district, and local laws affecting aspects of the Alliance’s work.Subject matter expertise in one or more of the following areas: real estate transactions (including commercial or industrial landlord/tenant contracts and leasing), environmental law (experience with the Clean Water Act, water quality and stormwater regulations ideal), and/or construction/public works.SkillsStrong legal writing and analytical skills.Excellent organizational skills and the ability to manage multiple projects, set priorities, and to meet and enforce deadlines in a detailed oriented environment.Transactional skills in drafting, revising and negotiating a range of contracts, MOU’s, interlocal agreements, and related documents.Excellent time management skills with experience triaging tasks based on business priorities, deadlines, and impact.Strong negotiation skills.Skilled in communicating complex legal concepts in understandable terms.Proficient in Microsoft Office and 365 within Windows, with a strong technical aptitude to quickly learn other systems.AbilitiesAbility to manage external counsel.Ability to work independently under general supervision and in team settings.Ability to work in a complex organization with clients at all levels of the organization.Ability to provide practical guidance related to the application of the law.Ability to interpret, analyze, and contribute to strategic, regulatory, and policy positions of the Alliance.Ability to prioritize and nimbly move between competing demands.This individual must demonstrate a caring customer service attitude, a strong commitment to operational excellence, and dedication to the organization’s core values: Integrity & Transparency; Excellence; Adaptability; Stewardship; Teamwork & Partnerships; Health & Safety; and Diversity, Equity & Inclusion.
