Senior Paralegal at Simplot in Boise, Idaho, United States Job Description Senior Paralegal Location: Boise, ID, US, 83702-6924 The J.R. Simplot Company is a diverse, privately held global food and agriculture company headquartered in Boise, Idaho. We are a true farm-to-table company with an integrated portfolio including food processing and food brands, phosphate mining, fertilizer manufacturing, farming, ranching and cattle production, and other enterprises related to agriculture. Summary This role supports the Corporate and Commercial Transactions Group within the Legal Department through corporate governance work and work on large commercial transactions and mergers and acquisitions. This position involves a majority of corporate governance work matters through entity management, interdepartmental communications and KYC responsibilities in connection with certain entities as assigned. Key Responsibilities + Lead paralegal for all merger and acquisition activities, including document preparation, due diligence, assembling schedules, and maintaining closing checklists. + Draft Officers' Certificates, Closing Certificates and Bring-Down Certificates as may be required. + Conduct lien and litigation searches and summarize results in support of mergers & acquisitions and other corporate transactions. + Prepare, assemble and compile documents in advance of closing and coordinate signature pages. + Prepare and file foreign registrations/qualifications and annual reports for assigned entities + Draft and finalize corporate consents (annual consents of shareholders, annual consents of directors, corporate consents approving capital contributions, intercompany loans, dividend payments and large commercial transaction or merger and acquisition approvals) for certain assigned U.S. and international legal entities. + Form new entities and merge or dissolve existing entities (corporations, LLCs and partnerships/limited partnerships). + Draft and maintain board and shareholder minutes, consents, operating agreements, and partnership agreements. + Draft, finalize and file as necessary amendments and/or restatements of articles/certificates of incorporation/formation, bylaws and operating agreements. + Update corporation information in hCue Entity Management software and run reports and/or organization charts as necessary. + Research and analyze legal issues using WestLaw. + Backup support for Service of Process distribution. (Not currently to my knowledge) + Backup support for financing deals including Bank Agreements, Private Placement Notes, Intercompany Demand Notes and Capital Contributions, KYC Responses, and Vendor Credit Letters. + responsibility for certain U.S. and foreign KYC responses in connection with assigned foreign entities. Typical Education + Associate's Degree (A.A. or equivalent) Relevant Experience + 10+ years' experience as a paralegal is required + At least 2+ years in a law firm environment is preferred + Must have corporate transactional experience with a demonstrable knowledge of mergers and acquisitions + Excellent verbal and written communication skills. + Strong interpersonal skills. + Proficient analytical and research skills. + Attention to detail is essential. + Must be a self-starter who anticipates issues and interacts well in unplanned situations. + Presentation of professional attitude and demeanor. + Computer literate with ability to utilize word processing, database, electronic filing systems, and spreadsheet software applications. + Ability to prioritize and handle multiple tasks simultaneously from multiple attorneys, work under pressure and still maintain normal workflow.
