In this role you will support legal aspects of Anduril’s M&A activities, our equity and debt financing transactions, as well as other strategic investment and partnership activities. You will partner closely with our Corporate Development and Finance teams as well the broader Legal team, on a wide range of matters, including assisting with negotiating acquisition and financing transactions, conducting and managing the due diligence process on such deals, and coordinating and driving an efficient closing for such deals. You will also provide general corporate support and assist in managing vendor, partner, and other commercial transactions for the Legal team.WHAT YOU’LL DO Be a key member of Anduril’s dynamic Legal team.Provide legal guidance on M&A and financing matters to our Corporate Development and Finance teams and other stakeholders.Conduct thorough legal due diligence on potential acquisition targets to identify and mitigate risks, ensure compliance, and support informed investment decisions.Assist in structuring M&A and financing transactions to optimize value, mitigate legal risks, and ensure alignment with Anduril’s strategic objectives.Draft, review, and negotiate commercial and finance agreements, including partnering agreements, purchase agreements, confidentiality agreements, debt agreements, licensing agreements, and various vendor and supply agreements.Oversee the organization and maintenance of legal documents related to M&A and financing transactions, ensuring accuracy and accessibility.Work closely with our Corporate Development and Finance teams, external legal advisors, and other stakeholders to drive M&A initiatives.REQUIRED QUALIFICATIONS JD from a top-tier accredited law school4+ years of experience practicing law in a large national law firm’s busy M&A practiceExperience with due diligence, deal negotiation, etc.Meticulous attention to detail with strong written and verbal communication skillsAbility to work within tight deadlines and within a team environmentAbility to provide clear risk analyses and recommendations to executive leadershipWilling and able to work in Anduril’s Costa Mesa, California officeWilling and able to travel at least 25% of timePREFERRED QUALIFICATIONS Experience with public company acquisitionsFinancing experience is preferredIn-house experience preferred, not requiredExperience working with the Department of Defense or with Defense companiesLicensed to practice law in CA or DCActive security clearanceUS Salary Range$170,000 - $255,000 USDThe salary range for this role is an estimate based on a wide range of compensation factors, inclusive of base salary only.
