Job Description WHAT'S THE JOB?
Reporting directly to the Executive Vice President Legal, General Counsel and Corporate Secretary you will provide timely, high quality and practical legal support as part of a small and dynamic legal team out of our head office to our national and regional business teams in Canada and the U.S.
Acting as a trusted business partner, you will gain exposure to all facets of being an in-house lawyer for a fast-growing publicly listed company.
You will be expected to provide timely, strategic and practical advice to business divisions related, but not limited to, corporate commercial and contract matters, mergers and acquisitions (as needed), financing activities (as needed), securities law, regulatory controls, and management of litigation.
Proactively anticipate and assess potential benefits and risks associated with business opportunities and operations.
Implement processes, controls and new resources/tools to ensure business operators and decision makers are better equipped to assess and manage legal risks and ensure compliance with applicable laws/regulations.
Other specific activities include:
Structuring, reviewing, drafting, negotiating, and enforcing commercial and shareholder/jv agreements.
Managing select external legal activities with service providers in each jurisdiction in which the group operates.
Helping prepare and co-ordinate filing Dexterra’s securities documents with provincial securities regulators and the TSX.
Overseeing regulatory compliance with maintaining the company’s required licenses.
Providing support in other areas of legal department responsibility, including board/committee meetings, share incentive plan administration, supply chain, insurance and risk management.
Qualifications WHO ARE WE LOOKING FOR?
Member of the Law Society of Upper Canada (Ontario) and in good standing.
Both junior and senior positions are being considered for hire. A minimum 2 to 10 years of post-call of corporate law experience.
Strong technical legal, problem solving and negotiation skills.
Ability to understand complex issues of files and find pragmatic and creative solutions to issues while exercising good business judgement.
Experience with M&A transactions, debt financing and Canadian or US public company reporting is an asset.
Superior written and oral communication skills, with the ability to communicate effectively at all levels of the organization.
