We are seeking a highly motivated Associate Counsel to join our legal team and support our mission.
Job Summary: The Associate Counsel will play a key role in supporting the legal needs of our company’s real estate and investment operations. This role will involve providing legal assistance on transactions, compliance, corporate governance, and risk management. The ideal candidate will have a strong background in real estate and commercial finance, with experience in transactional work, commercial litigation, and regulatory compliance.
Key Responsibilities:
- Review, draft, and negotiate a wide variety of contracts and agreements related to real estate, employment, governance, litigation, and finance transactions.
- Conduct legal due diligence on potential acquisitions, dispositions, and joint ventures.
- Collaborate with internal teams (e.g., finance, asset management, development, investment, litigation, and operations) to identify and mitigate legal risks.
- Support corporate governance activities, including preparing materials for board meetings and managing corporate records.
- Assist with litigation management and interface with outside counsel, as necessary.
- Assist the General Counsel in all facets of the company’s legal needs.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- 5+ years of experience as a practicing attorney, with a focus on real estate, corporate, finance, and commercial litigation.
- Proven experience with transactional work and contract negotiation, especially in the real estate and finance sectors.
- Strong understanding of real estate and securities laws, including regulatory compliance.
- Excellent analytical, communication, and interpersonal skills, with the ability to work collaboratively in a fast-paced environment.
- High ethical standards, strong attention to detail, and ability to handle sensitive information confidentially.
Preferred Qualifications:
- Experience working in private practice for an AM Law 200 law firm and/or in-house for a real estate, finance, or investment company.
- Familiarity with securities law, including private placements.
- Proficiency in managing multiple projects simultaneously and adapting to changing priorities.
- Availability to work in office full-time.
