Legal CounselUS based - remote or hybrid (office located in Vadnais Heights, MN)Travel may be required (up to 25%)Position Overview The Legal Counsel - Transactional has responsibility for assisting the business and Law Department with transactional legal matters affecting the Company, supporting the North American region within a multi-national environment. The candidate should be a legal professional capable of collaborating with various legal and business stakeholders, advising the business directly. Ideally, the candidate will have expertise in and be able to provide advice relating to one or more of the following: advertising and marketing, artificial intelligence, intellectual property licensing and development, antitrust, data protection, FDA, compliance, corporate governance or subsidiary management requirements. The position reports to the Senior Legal Counsel.

Primary Responsibilities- Under minimal attorney supervision, draft, review and provide advice on various transactional matters within a multi-national environment, including confidentiality contracts, agreements with customers, suppliers, distributors or agents, contract manufacturers, equipment agreements, consulting agreements, intellectual property licensing and joint development agreements and related topics.
- Draft, monitor and revise appropriate legal templates.
- Be the primary point of contact in the North American region for one or more of HBF's Global Business Units, while continuing to provide support to the other GBU/s as needed.
- Act as a pro-active, additional legal point of contact generally for the business and functions (for example, sourcing, operations, supply chain, R&D, tax, finance and audit).
- Participate in business meetings, to bridge with other teams and to gain awareness of the business needs, evolution and idiosyncrasies.
- Advise on legal risk and provide legal support as required for corporate/project work, including joint ventures/cooperation agreements, acquisitions and other regional expansion projects.
- Actively manage outside counsel from time to time.
- Assist to improve, maintain and provide training regarding the contract request and review process to all levels within the company.
- Develop and deliver effective training on various legal topics.
- Support the strategic direction of the H.B. Fuller's Global Law Department on projects and initiatives that may be allocated from time to time.
Minimum Requirements- Bachelor's degree or equivalent level of relevant experience.
- Admitted as a lawyer in at least one state (MN preferred).
- 3 to 5 years of transactional legal experience, including commercial contract agreement review and drafting.
- Working knowledge of research databases: Westlaw, Lexis/Nexis or similar and the Internet.
- Exceptional organizational and analytical skills.
- Strong communication skills, both oral and written.
- Strong attention to detail and accuracy.
Preferred Requirements- Spanish or Portuguese language and legal skills.
- Knowledge or experience of medical, automotive or electronics industries,
- Artificial Intelligence experience.
Pay is based on several factors including but not limited to education, work experience, certifications, and geographic location.
The salary for this role is $114,800 - $150,000.
