Meet Recruitment is working with a well-funded biotech in the San Francisco Bay Area. We’re seeking a strategic and experienced General Counsel to lead legal operations and join the executive team. This is a high-impact role that will provide critical legal guidance, mitigate risks, and support key business decisions as we navigate new opportunities.
Role Overview:
The General Counsel will be responsible for overseeing all legal functions within the company. As a key member of the executive team, the GC will provide legal expertise and strategic advice to senior leadership on a wide range of business matters, including corporate governance, compliance, risk management, and contract negotiations.
Key Responsibilities:
- Act as the primary legal advisor to the executive team on corporate governance, regulatory compliance, business strategy, and legal risk.
- Ensure compliance with all legal and regulatory requirements, including corporate governance matters, securities laws, and industry-specific regulations.
- Identify and assess legal risks across the business, providing actionable recommendations and mitigation strategies to senior leadership.
- Lead the negotiation, drafting, and management of key contracts and agreements, ensuring that the company’s interests are protected.
- Oversee and manage any litigation matters, collaborating with external counsel when necessary, to minimize legal exposure and ensure favorable outcomes.
- Provide legal support for mergers, acquisitions, joint ventures, and other business transactions, including conducting due diligence and structuring deals.
- Lead and manage the in-house legal team, providing mentorship, guidance, and professional development to legal staff.
- Develop, implement, and enforce corporate policies to ensure ethical conduct, legal compliance, and risk mitigation across the organization.
Qualifications:
- 10+ years of legal experience, with at least 5 years in a senior or executive legal role (preferably as General Counsel/Head of Legal).
- Experience in the life science sector.
- Deep knowledge of corporate governance, risk management, contract law, and litigation. Experience with M&A and securities law is a plus.
- Strong understanding of business operations and the ability to align legal strategies with overall business objectives.
- Juris Doctor (JD) from an accredited law school.
