The Legal team is responsible for managing the legal affairs of the company, including providing legal counsel across the organization, handling disputes, and creating and enforcing intellectual property.

Key Responsibilities:

  • Provide expert legal counsel to senior management and the board of directors on matters related to United States securities laws, corporate governance, and regulatory compliance.
  • Oversee the preparation and review of public filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings (Forms 3, 4, and 5).
  • Advise on compliance with the Securities Exchange Act of 1934, the Securities Act of 1933, and other applicable regulations.
  • Coordinate with finance and internal audit on the company’s compliance with Sarbanes-Oxley (SOX) and other corporate governance standards.
  • Manage the legal aspects of the company’s capital markets transactions, including equity and debt offerings and private placements.
  • Support and coordinate with internal teams to ensure compliance with corporate governance policies, including internal controls and financial reporting requirements.
  • Counsel on executive compensation matters, including stock-based compensation and insider trading policies.
  • Familiarity and willingness to partner with our compliance function on global sustainability reporting
  • Partner with the Investor Relations group on shareholder relations and proxy advisory issues and assist with investor communications related to securities law matters.
  • Stay informed of developments in securities law and corporate governance best practices, ensuring the company remains compliant with changing regulations.
  • Manage outside counsel relationships on securities and corporate governance issues, ensuring efficient and effective legal support.
  • Partner with business units and other departments to identify and mitigate legal risks associated with corporate securities matters.
  • Ensure compliance with SEC reporting requirements, including timely and accurate submission of all necessary filings and disclosures.
  • Secondary role supporting mergers and acquisitions activity, including integration

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Member of a state bar, preferably California, with the ability to be admitted to practice in relevant jurisdictions.
  • Minimum of 10 years of experience in corporate securities law, with a significant portion of that experience gained in-house at a public company or in a top-tier law firm.
  • In-depth knowledge of U.S. and global securities laws—particularly Australia--corporate governance principles, and regulatory requirements.
  • Experience with public company filings, including 1934 Act reports, 1933 Act offerings, and Section 16 matters.
  • Strong experience advising on capital markets transactions, mergers and acquisitions, and corporate governance.
  • Excellent written and verbal communication skills, with the ability to clearly convey complex legal concepts to non-legal stakeholders.
  • Proven ability to manage multiple priorities and navigate complex legal and business issues in a fast-paced, global environment.
  • Strong business acumen and a proactive, solution-oriented approach to legal challenges.
  • Exceptional judgment and ability to work effectively with senior executives, the board of directors, and external stakeholders.

Preferred Qualifications:

  • Experience coordinating with stock exchanges outside the United States, as well as global corporate governance requirements, particularly in Australia
  • Experience in a global organization with complex international securities law issues.
  • Knowledge of environmental, social, and governance (ESG) regulations and best practices.
  • Fluency in multiple languages (preferred but not required).
