Emerging Growth/Venture Capital Associate

Location:

Hybrid - San Diego, CA

Responsibilities:

  • Represent emerging growth companies and institutional investors in venture capital financings.
  • Advise on M&A transactions and provide corporate guidance to emerging growth companies on day-to-day matters.
  • Draft and negotiate various corporate documents, including investment agreements, term sheets, and corporate governance documents.
  • Collaborate with colleagues and clients to manage transactions and deliver effective solutions.

Requirements:

  • Licensed to practice in California.
  • Minimum of 5 years of experience in venture capital, emerging growth companies, and M&A transactions.
  • Experience at an AmLaw 100 law firm is preferred.
  • Strong analytical, writing, and communication skills.
  • Excellent attention to detail, organizational skills, and business judgment.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Proven problem-solving abilities, conceptual thinking, and the ability to influence others.
  • Communicate effectively, both verbally and in writing, with clients, colleagues, and third parties.
  • Deliver high-quality, timely work products while meeting deadlines.
  • Maintain positive working relationships and ensure compliance with all firm policies and practices.
  • Ability to manage multiple tasks and competing demands in a dynamic environment.

Education:

  • Juris Doctor (JD) degree from a nationally ranked law school.
