Who We Are Our Legal Team are responsible for navigating complex legal landscapes and providing strategic counsel to safeguard our mission and initiatives. They ensure that compliance and ethical standards are upheld in every aspect of our work.
Role Overview:The Senior Corporate Paralegal is a critical member of a highly collaborative, cross-functional team that will provide support in the areas of corporate governance, entity management, corporate reporting, regulatory compliance, capital structure management, M&A and other areas of corporate law. This role will also support the corporate secretary function. The role will involve working independently and across key partners, including with finance and human resources teams, outside counsel and auditors. The ideal candidate brings an intellectual curiosity to their work, has stellar judgment, is a consummate team player, and relishes working in a mission-driven culture, where a collaborative work environment is highly valued, and a sense of urgency, accountability, and results-orientation is paramount.
Key Responsibilities:- Support the legal team on full range of corporate governance and compliance matters, including SEC and stock exchange filings (e.g., Section 16 and annual and quarterly filings), D&O Questionnaires, annual meeting and trading window activities;
- Interact with cross-functional stakeholders at all levels, including senior executives and the corporate and finance teams on corporate and compliance matters;
- Assist in the preparation of materials for Board meetings (drafting Board consents, resolutions, and agendas) and manage postings to the electronic Board portal;
- Handle general corporate subsidiary management for global organization (appointments and resignations of directors and officers, annual statutory filings, filing of certificates of incorporation/formation, qualifications, preparation of bylaws and organizational consents);
- Maintain public company and subsidiary director and officer charts, minute books and corporate records and develop repository of local jurisdictional requirements;
- Assist in corporate transactional matters, including managing due diligence materials, preparing transactional closing documentation, reviewing schedules to agreements and general project management;
- Assist with, obtain and distribute notarizations, apostilles, legalized documents, certified copies, corporate filings and other corporate documents as needed;
- Manage and respond to requests for information and documents from the Company's auditors and finance departments and process subpoenas and record requests;
- Collaborate cross-functionally to support financings and other transactions;
- Identify, design, and implement new processes, procedures and technology solutions to improve the legal group's efficiency, productivity, and communication; and
- Help to review and update content and legal policies for corporate governance compliance.
Requirements: - Bachelor's Degree or equivalent
- At least 5 years of corporate and compliance experience (in-house preferred)
- Strong attention to detail and comfort with numbers
- Ability to research, read and understand basic rules and regulations
- Ability to recognize issues that should be escalated for further review
- Strong analytical, interpersonal, organizational and communications (both verbal and written) skills
- Ability to handle confidential information with discretion
- Ability to work efficiently with minimal supervision and independently manage heavy workloads with competing priorities as part of a team working under tight deadlines in a fast-paced environment
- Exceptional attention to detail and proven ability to earn the confidence and cooperation of colleagues
- Proficiency in Google Suite, Microsoft Office, Adobe Acrobat, and Delta View
- Qualified as a Notary
- In-office presence 1-2 days per week and as needed for Board and other meetings
Base salary may vary depending on, but not limited to: skills, experience, and location. This role is also eligible for a comprehensive benefits package and annual bonus program.
US Pay Range
$100,000-$125,000 USD
