Corporate Paralegal

Location: Silicon Valley, CA

A prominent Silicon Valley law firm is seeking a skilled and experienced Corporate Paralegal with 5-10 years of experience in corporate transactions. This role offers the opportunity to work on a diverse range of matters supporting technology startups, emerging growth companies, and public firms.

Key Responsibilities:

• Assist with corporate transactions, including IPOs, mergers and acquisitions, re-incorporations, and venture capital financings
• Incorporate high-tech companies and manage corporate records
• Administer and implement stock option plans and conduct blue sky research
• Maintain corporate governance documents, including minute books and closing binders
• Oversee intricate shareholder mailings with the assistance of legal analysts
• Manage stock splits and cap tables using software such as eProsper and Carta
• Prepare and organize documentation for venture capital financings and other complex transactions

Qualifications:

• 5-10 years of corporate paralegal experience, with a strong focus on IPOs and venture capital financings
• Bachelor’s degree and a paralegal certificate from an ABA-approved program
• Experience managing corporate governance documents, including minute books and closing binders
• Proficiency in stock option administration and cap table management software (e.g., Carta, eProsper)
• Advanced computer skills, including DocuSign and Microsoft Office Suite (Word, Excel, Outlook)
• Excellent attention to detail, organizational ability, and communication skills
• Flexibility to work overtime when required
