POSITION OVERVIEW
The Legal Assistant/Paralegal position reports to A10 Capital’s General Counsel in a fast-paced commercial real estate finance environment. The ideal candidate will have a strong background in commercial loan servicing and special servicing, loan workouts, secured lending, structured finance, and real estate transactions, with the ability to manage a diverse range of legal tasks. This position involves working closely with various stakeholders, including internal teams and external counsel, to ensure smooth and efficient legal operations.
PRIMARY DUTIES
- Manage, prioritize, and triage incoming loan servicing tasks, projects, and legal inquiries to ensure deadlines are met and resources are allocated effectively.
- Calendar management, including scheduling meetings, maintaining legal deadlines, and coordinating across departments.
- Oversee document management systems, ensuring that all legal documents are properly filed, maintained, updated, and accessible to relevant parties.
- Draft and deliver legal notices and correspondence to loan borrowers and financial counterparties in accordance with controlling loan documents and counterparty agreements.
- Assist with litigation management, including gathering and organizing evidence, exhibits, maintaining case files, and coordinating depositions and hearings.
- Manage pleadings, filings, and legal documentation related to mortgage foreclosures, trustee sales, enforcement actions, and loan workouts.
- Maintain and update company records. Assist with the management of legal aspects for investor reporting.
- Coordinate with outside counsel on litigation, negotiations, loan workouts, and other legal matters.
- Drafting, reviewing, and organizing commercial real estate loan documents, Deposit Account Control Agreements (DACA), Confidentiality and Non-Disclosure Agreements (NDA), Subordination Non-Disturbance and Attornment Agreements (SNDA), and leases.
- Handle matters related to commercial real estate planning, zoning, and title work.
- Proactively identify legal risks and issues.
- Assist in drafting and revising corporate policies, procedures, and other legal documents.
- Maintain confidentiality regarding sensitive information and legal matters.
REQUISITES
- Minimum of three (3) years of experience with commercial loan servicing and special servicing, loan workouts, secured lending, structured finance, and real estate transactions.
- Paralegal certification or equivalent experience in a law firm or in-house legal department, preferably in the commercial real estate finance industry.
- Proficient in transaction management, conducting closings, and commercial real estate loan documents, including knowledge of DACAs, NDAs, SNDAs, and leases.
- Experience with planning and zoning matters, title review and analysis, mortgage foreclosure and trustee's sale procedures, and loan workouts.
- Excellent document management skills and familiarity with transaction and litigation management processes.
- Advanced proficiency in Microsoft Office applications, specifically Excel, Word, Teams, and calendaring tools.
- Strong written and verbal communication skills with the ability to interact professionally with all levels of the organization.
- Detail-oriented, with the ability to multitask, prioritize, pivot, and manage time effectively in a fast-paced environment.
- Ability to handle confidential information with discretion.
- Strong reading comprehension, problem-solving skills, analytical reasoning skills, and the ability to proactively address legal issues.
- Collaborative team player with the ability to work independently.
- Knowledge of local and federal regulations related to commercial real estate lending.
