Job Description

The Legal Assistant will provide administrative and legal support to attorneys in the Corporate Law practice area. The ideal candidate will have a solid understanding of corporate law principles, including business formation, mergers and acquisitions, contracts, and compliance. This role requires excellent communication skills, attention to detail, and the ability to work efficiently under tight deadlines.


Key Responsibilities :

  • Assist in the preparation and review of corporate documents, including contracts, agreements, and board resolutions.
  • Prepare and file documents with government agencies (e.g., SEC filings, business registrations, etc.).
  • Support attorneys in corporate governance matters, including maintaining corporate records and drafting minutes of meetings.
  • Manage and organize legal files, ensuring all relevant documents are properly maintained and easily accessible.
  • Conduct legal research and compile information on corporate laws, regulations, and industry trends.
  • Assist in the drafting of corporate policies, compliance manuals, and other internal legal documents.
  • Coordinate and communicate with clients, opposing counsel, and other stakeholders.
  • Track deadlines and manage calendar for legal matters, ensuring timely filing of documents.
  • Assist in due diligence processes for mergers, acquisitions, and other corporate transactions.
  • Handle other administrative tasks as needed, such as preparing billing reports, handling correspondence, and organizing client meetings.


Qualifications :

  • Education : Associate's degree in Paralegal Studies, Legal Studies, or related field. Bachelor’s degree preferred.
  • Experience : Minimum of 5 years of experience as a legal assistant in a corporate law firm or legal department. Experience in mergers and acquisitions, contract law, and corporate governance is highly desirable.

Skills :

  • Strong understanding of corporate legal terminology and documentation.
  • Excellent organizational skills with the ability to manage multiple tasks and deadlines.
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint) and legal research tools.
  • Familiarity with legal document management systems is a plus.
  • Strong communication and interpersonal skills, with the ability to work effectively in a team environment.
  • High attention to detail and ability to work independently.
