Project Legal Counsel – Renewable Energy Projects


Position Overview:

The Project Counsel will serve as a key legal advisor for all aspects of distributed solar generation and storage project development, construction, and operations. This role involves drafting, reviewing, and negotiating critical project agreements, ensuring compliance with legal and corporate standards, and managing risks effectively. The position will also involve collaboration with cross-functional teams to support project financing, operations, and documentation processes.


Key Responsibilities:

  • Provide legal support and expertise throughout the lifecycle of distributed solar and storage projects.
  • Draft, review, and negotiate agreements, including power purchase agreements, equipment supply and warranty contracts, construction contracts, and operations agreements.
  • Offer strategic legal guidance to project teams, ensuring compliance with policies and regulations while meeting project goals.
  • Oversee external legal resources to optimize efficiency and outcomes.
  • Support compliance efforts, corporate requirements, and risk mitigation strategies.
  • Assist in due diligence for project financing and sale processes.
  • Analyze project risks and propose solutions aligned with organizational objectives.
  • Collaborate with legal and management teams to ensure comprehensive risk and value management.


Qualifications:

  • Juris Doctorate (JD) degree.
  • 4–6 years of experience in a law firm or in-house counsel role, with expertise in drafting and negotiating project-related contracts.
  • Familiarity with project development processes, particularly in renewable energy or distributed generation projects.
  • Licensed to practice law in at least one U.S. state, preferably Texas or Indiana.
  • Knowledge of project finance and tax equity financing is preferred.
  • Strong skills in problem-solving, communication, and team collaboration.


Location:

This is a hybrid position based in Houston, TX, or Indianapolis, IN, with up to 10% travel.
