This Role reports to the Head of Legal, TCS Canada
Role and Responsibilities
- Providing advice on deal structure, drafting transaction documents, review and negotiation of contracts and other transaction documents including Technology, Business Process Services, and Software Licensing.
- Perform due diligence and research, advice clients, and ensure ongoing compliance with company’s responsibilities for monitoring, reporting, and meeting contractual, statutory, and legal obligations in connection with commercial contracts.
- Help the organization achieve and maintain compliance with relevant global, federal, and provincial laws and regulations as well as company policies on data protection and privacy.
- Pro-actively identify upcoming changes in law and regulations impacting the business and communicate with local units regarding trends and risk mitigation strategies.
- Support contract negotiations with customers and vendors.
- Support, guide and train managers and members of local business units and functions in the implementation of company policies and other company requirements related to commercial contracts, privacy, data protection and other legal awareness programs.
- Support various business units in the performance of data privacy risk assessments, resolution of privacy incidents and monitoring of internal controls.
- Provide compliance reporting.
- Handling demand notice, response, and dispute resolution, as assigned.
Requirements:
- Experience working with contracts specific to public sector
- Minimum: Bachelor’s degree in law necessary to practice law in Canada
- Admission and member of good standing in the Law Society of Ontario.
- Candidates must have between 8 to 15 years working experience with respect to commercial transactions including privacy practice of a law firm and/or as an in-house counsel. At least three years of practice focused on technology and licensing contracts.
- Ability to manage time efficiently; ability to work under pressure; ability to work on multiple projects and to prioritize projects.
- High level of professionalism, good judgment, and initiative
- Outstanding written and oral communication skills and collaboration skills required.
- Domestic travel as required.
