Job Description

Position Overview:

The Corporate Counsel (Corporate and Regulatory) will play a critical role in supporting the legal department in various matters, including mergers and acquisitions (M&A), entity formations, contract negotiations, and regulatory compliance. The ideal candidate will possess a strong background in corporate law and healthcare regulations.

Pay Range: $190,000 - $205,000


Key Responsibilities:

- Mergers and Acquisitions: Assist in the legal aspects of M&A transactions, including due diligence, negotiation of purchase agreements, and integration of new entities.

- Entity Formation and Management: Oversee the formation and management of corporate entities, ensuring compliance with state and federal regulations.

- Drafting Operating Agreements and Bylaws: Prepare and review operating agreements, bylaws, and other corporate governance documents to ensure alignment with business objectives and legal requirements.

- Regulatory and Licensing Filings: Manage and oversee regulatory and licensing filings for the company and its facilities, ensuring compliance with all applicable laws and regulations.

- Contract Negotiation: Negotiate and draft corporate and facility-level contracts, including service agreements, vendor contracts, and leases, ensuring favorable terms and compliance.

- Legal Compliance: Provide ongoing legal advice and support to management and operational teams to ensure adherence to healthcare laws and regulations.

- Policy Development: Collaborate with internal stakeholders to develop and implement policies and procedures that promote legal compliance and best practices.

- Training and Guidance: Provide training and guidance to staff on legal issues related to contracts, compliance, and corporate governance.


Qualifications:

- Juris Doctor (JD) from an accredited law school.

- Active license to practice law in California.

- Minimum of 5 years of experience in corporate law, with a focus on M&A, healthcare, or regulatory matters preferred.

- Strong knowledge of federal and state healthcare regulations, including licensing and compliance requirements.

- Excellent drafting, negotiation, and communication skills.

- Proven ability to work both independently and collaboratively in a fast-paced environment.

- Strong analytical and problem-solving skills.
