Looking to gain better work exposure within a AM 200 Law Firm ???

Im representing a highly reputable firm who are currently seeking a Corporate Fund Formation Associate with at least three years of experience in fund formation for private equity & venture capital sponsors and their investors.

Required experience includes working on fund formation engagements, including drafting and negotiations of limited partnership agreements, subscription agreements and side letter agreements; legal review and completion of private placement memoranda; drafting general partner and management company arrangements; regulatory compliance matters for private equity and venture capital firms; and all other documents and processes relevant to fund formation transactions and private equity and venture capital firm clients.

The ideal candidate should have knowledge of the Securities Act, the Investment Company Act and the Investment Advisers Act, as these laws and their related rules apply to private equity and venture capital funds.

Must be a self-starter and possess excellent professional judgement and strong work ethic. This individual should be highly motivated to provide exceptional client service and value the opportunity for personal and professional growth in a collaborative environment.

Large firm experience strongly preferred.
