We are seeking an associate attorney with 1-3 years of experience in real estate and finance. The ideal candidate will have a solid foundation in commercial real estate, transactional finance, and general corporate matters, with a demonstrated ability to handle multiple projects and work collaboratively.
Key Responsibilities:
Real Estate:
- Assist with commercial real estate transactions, including acquisitions, dispositions, and leasing.
- Conduct title and survey reviews, and advise on permitting, entitlements, and zoning matters.
- Draft and negotiate purchase and sale agreements, lease agreements, and related documents.
Finance:
- Advise lenders and borrowers on a broad range of transactional finance matters, including credit facilities and secured financing.
- Draft and review loan agreements, security agreements, and other financing documents.
Corporate and Commercial Transactions:
- Provide support on general commercial transactions and corporate matters.
- Draft corporate organizational documents, resolutions, and other governance-related materials.
- Develop a strong understanding of corporate entities and their roles in transactions.
- Assist with contractual and transactional matters as part of broader client representation.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school with excellent academic credentials, particularly in transactional law courses.
- Active membership in good standing with the Texas State Bar or eligibility to become admitted in Texas.
- 1-3 years of experience in real estate, finance, and commercial transactions.
- Strong drafting, research, and writing skills.
- Proven ability to manage multiple projects independently and within a team setting.
Preferred Qualifications:
- Experience with title and survey review, permitting and entitlements, and zoning in commercial real estate.
- Familiarity with advising lenders and borrowers on a range of finance-related matters.
- Basic understanding of corporate entities and experience drafting organizational documents.
