Overview:
Colliers Engineering & Design has a newly created opportunity for a mid-level attorney (6-8 years in practice) to assist in our expanding Legal Department as a Corporate Counsel, to be located in our San Antonio, Texas office. We currently provide a hybrid work environment.
This is an excellent opportunity to contribute to, and become an integral part of, an established and successful corporation with a forward-thinking acquisition growth strategy. We are looking for a lawyer with prior in-house experience, particularly in the areas of public/government contracting and insurance coverage matters. The position will report to the General Counsel, who leads the firms Legal Group located in our national corporate headquarters in Holmdel, New Jersey. A "can do" problem-solving approach is essential. Also, a willingness to learn and to contribute with new processes and procedures are also essential. Some limited travel may be involved.
Responsibilities:
Liaise with our various insurance brokers and our other internal corporate departments regarding coverage requirements and compliance.
Manage tasks and provide advice on integration of newly-acquired firms, including post-acquisition integration due diligence and risk management reviews.
Review and negotiation of public-entity, and private client, professional services contracts, requests for proposals/qualifications (RFPs/RFQs), non-disclosure agreements (NDAs), teaming agreements, joint venture agreements, and other legal and contractual documents.
Review and guidance on insurance coverage issues impacting the firms projects.
Providing assistance on post-acquisition integration matters arising under our M&A processes.
General corporate governance matters, as may be needed.
Qualifications:
J.D. Degree from an ABA-Accredited law school and strong academic credentials.
6-8 years experience in contract review, drafting, and negotiations; preferably within the Architectural/Engineering industry.
Texas Bar Admission additional states a plus but not required.
In-house experience required.
In-depth knowledge of federal and state laws pertaining to professional services agreements, licensing agreements, construction contracts, AIA contracts, NDAs, and other business agreements/documents with clients, vendors, and third parties.
Possess strong client-relations, interpersonal, written and oral communication and analytical skills and be able to communicate clearly, concisely, and professionally with all levels of management regarding legal issues.
Ability to draft, review, evaluate, and negotiate various business agreements and effectively manage contract administration policies, systems, and procedures.
Ability to remain calm under pressure, handle a rapidly changing and fast-paced environment, juggle multiple priorities, and work collaboratively with various stakeholders.
