Our client, an investment manager (not a large bank) is seeking a capital markets attorney (general corporate would be considered) for their New York City office.
Salary $200,000-225,000 with a bonus of about $75,000
Full-time 4 days in office, 1 remote
Location: New York, New York (Midtown)
Minimum Requirements:
- 4 to 5 years of legal experience, specializing in corporate matters, either as an associate at a prestigious law firm or as in-house counsel.
- Must be a JD admitted in NY (in good standing)
- Strong understanding of SEC reporting and disclosure requirements for public companies, NYSE listing standards, and Delaware General Corporation Law.
- Experience with securities transactions (e.g., the Securities Act of 1933) and a solid grasp of capital markets is a plus.
- Handling legal issues related to public companies, including corporate governance;
- Expertise in federal securities laws, such as the Securities Exchange Act of 1934 and related SEC rules/regulations;
- Contract negotiation and drafting;
- Experience with direct client interaction.
