Job Description

EpsteinSchwartz has an exciting new General Counsel opportunity. Our client, a global education company, is seeking an attorney with 12+ years of sophisticated transactional experience to join its management team. This attorney will work closely with the company’s leadership team and provide high-level legal counsel. This is an excellent opportunity to lead the legal function of a sophisticated and growing international company headquartered in the Phoenix metro area.


General Counsel Responsibilities :

  • Develop and implement legal strategies that align with the company's business objectives and international operations. Ensure compliance with applicable laws, regulations, and industry standards across multiple jurisdictions;
  • Oversee and manage the drafting, negotiation, review and amendment of core contracts and agreements. Oversee the drafting, negotiation and review of other contracts including licensing agreements, patents, non-disclosure agreements, vendor contracts, employment agreements and contractor agreements;
  • Negotiate with entities across the world and engage local outside counsel as needed. Develop and maintain strong working relationships with attorneys in various locations;
  • Review both domestic and international tax implications arising from the company’s partnerships and operations to ensure compliance with US and foreign regulatory requirements. Engage outside counsel as needed
  • Provide guidance on corporate structure, governance issues, and regulatory compliance. Assist in efforts to raise capital. Support the Board of Directors and executive leadership on corporate governance matters; and
  • Manage legal budgets and expenditures of outside law firms and other legal vendors.


General Counsel Required Qualifications :

  • 12+ years of corporate and commercial contract experience, a mix of law firm and in-house experience is strongly preferred;
  • Significant international legal experience;
  • Higher education experience is a plus;
  • Ability to prioritize, multitask and provide timely risk management assessments;
  • Excellent oral and written communication skills, and ability to communicate effectively with non-lawyers;
  • Significant leadership and management experience;
  • Sound judgment, ethical integrity and project management skills; and
  • JD and in good standing in at least one state with the ability to waive into Arizona bar.
