Uniphore is seeking a
seasoned, business-driven General Counsel
to serve as a strategic advisor to the
CEO and executive team
. This leader will play a pivotal role in guiding
corporate governance, compliance, risk management, and M&A activities
, ensuring Uniphore is well-positioned for public market readiness.The ideal candidate has
extensive experience in global B2B enterprise software, SaaS, or cloud-based products
, with a track record of
successfully navigating companies through IPOs and scaling in fast-paced environments.Key ResponsibilitiesStrategic Legal Advisory:
Provide counsel to the CEO, Board of Directors, and senior leadership on corporate governance, regulatory matters, and strategic initiatives, ensuring alignment with Uniphore’s growth objectives.
IPO & Public Company Readiness:
Lead all legal aspects of Uniphore’s
IPO planning and execution , including
SEC compliance, corporate governance, investor relations, and public market regulations.
Corporate Governance & Compliance:
Develop and oversee internal governance policies, ensuring compliance with
domestic and international regulations (U.S./India and other key markets) , privacy laws, and corporate policies.
M&A, Partnerships & Risk Management:
Advise on
M&A transactions, joint ventures, and strategic partnerships , evaluating risk factors that could impact the business.
Intellectual Property & Contracts:
Manage the company’s
IP strategy and patent portfolio , while overseeing key commercial agreements, including
customer contracts, vendor agreements, employment law, and real estate leases.
External Relations & Stakeholder Management:
Establish and maintain strong relationships with
regulators, outside counsel, and external partners , ensuring Uniphore’s legal interests are effectively represented.
Team Leadership:
Build and lead a high-performing
legal and compliance team , ensuring operational excellence as Uniphore scales.
Key Qualifications & Competencies10+ years of legal experience , with a strong
in-house background in cloud, SaaS, tech, or telecommunications.
Proven track record leading a company through IPO or public market transitions.
Expertise in
corporate governance, SEC regulations, M&A, privacy, compliance, and international law (particularly U.S./India).
Strong negotiation skills across
legal, financial, and commercial matters.
Ability to
operate at both strategic and executional levels , balancing risk with business growth.
Exceptional interpersonal skills, with the ability to
collaborate across teams and influence stakeholders.
J.D. from a top-tier, accredited institution.
Active membership in the California State Bar (or other recognized state bar).
Hiring Range :$252,200 - $346,800 - for Primary Location of USA - CA - Palo AltoThe specific rate will depend on the successful candidate's qualifications and prior experience.In addition to competitive base pay, this position also includes an annual incentive opportunity based on target achievement, pre-IPO stock options, benefits including medical, dental, vision, 401(k) with a match, and more, plus generous paid time off, paid holidays, paid day off for your birthday and other paid leave policies to support employees through all phases of life.
