GENERAL SUMMARYThe Assistant General Counsel will provide legal support to the General Counsel and Deputy General Counsel, by managing a wide variety of complex legal matters on behalf of the company, partnering with leadership on strategic objectives, and providing legal advice to operational and physician leaders on a wide range of legal and regulatory issues.Requirements

ESSENTIAL JOB FUNCTION/COMPETENCIESThe responsibilities and duties described in this job description are intended to provide a general overview of the position. Responsibilities include but are not limited to:At the direction of the General Counsel and Deputy General Counsel, oversee day-to-day activities of the legal department, ensuring efficient operations and effective support for internal clients.Manage assigned corporate and healthcare legal matters and processes (e.g., contracts / agreement drafting and risk review, mergers & acquisitions, compliance, real estate, disputes/litigation matters, capitalization table management, entity management).Research, anticipate and guard company against legal risks, including ensuring company’s operations comply with evolving state and federal laws and healthcare industry standards.Act as a trusted advisor to Company executives, affiliate managers, and physician leaders on legal matters.Oversee post-transaction integration with respect to any necessary assignment and migration of legal contracts, post-closing organizational structure changes, and post-closing vendor and regulatory notifications.Manage departmental workflows, prioritize legal matters, and allocate resources appropriately.Develop company policy and position on varied legal issues.Perform other position-related duties as assigned.Adhere to high standards of ethical conduct and comply with all applicable laws and regulations, including following the Solaris Health Code of Conduct and maintaining the confidentiality of patients' protected health information in compliance with HIPAA.CERTIFICATIONS, LICENSURES OR REGISTRY REQUIREMENTSCurrent license to practice law, in good standing.KNOWLEDGE | SKILLS | ABILITIESFamiliarity with healthcare-specific regulations (Stark Law, AKS, HIPAA, corporate practice of medicine prohibitions, etc).Strong background in corporate governance.Excellent negotiation skills.Strong analytical and problem-solving skills.Excellent written and verbal communication skills.Ability to manage multiple projects simultaneously.Strong organizational and time-management skills.High ethical standards and integrity.Ability to work collaboratively with cross-functional teams.Able to communicate complex legal issues in a clear and accessible manner to both legal and non-legal stakeholders.EDUCATION REQUIREMENTSJuris Doctor (JD) degree from an accredited law school, with a strong academic background.Active member in good standing with a state bar.EXPERIENCE REQUIREMENTS5+ years of legal experience, preferably combined at an AM LAW 100 law firm and in-house setting, with a minimum of 3 years of relevant legal experience in commercial contracting, corporate transactional, and/or healthcare law experience.Preference for candidates who are based in South Florida and can work “hybrid” in-office based out of Fort Lauderdale, Florida.Prior healthcare law experience preferred.REQUIRED TRAVELOccasional travel to physician office locations or company board meetings.PHYSICAL DEMANDSCarrying Weight Frequency1-25 lbs.
