Job Overview : A leading law firm in California seeks a skilled Nonprofit Corporate Attorney to join its team in Sacramento. This hybrid position offers the opportunity to engage in impactful legal work in the field of nonprofit law, specifically for educational institutions. The firm is renowned for its dedication to representing public charter schools and private schools in various legal matters, contributing to meaningful legal work that makes a difference in the education sector.Duties :Advise nonprofit organizations on the formation process, 501(c)(3) applications, and ongoing compliance with federal and state regulations.Structure and negotiate business transactions, including mergers, joint ventures, and strategic partnerships, specifically in the nonprofit sector.Draft and review essential corporate governance documents, such as bylaws, board policies, and conflict of interest procedures.Counsel nonprofit boards of directors on fiduciary duties and best practices for effective governance.Ensure compliance with state charitable registration and reporting requirements.Handle ongoing corporate governance matters and provide general legal advice to nonprofit clients.Requirements :Minimum of 2 years of experience in nonprofit corporate law, with a strong understanding of the legal challenges and opportunities within the nonprofit sector.Active membership in the California State Bar.Experience with nonprofit formation, governance, and compliance matters.Strong analytical, communication, and problem-solving skills.Ability to handle complex legal issues in a collaborative environment.Education :Juris Doctor (JD) from an accredited law school.Certifications :Active membership in the California State Bar is required.Skills :Expertise in nonprofit law and corporate governance.Strong negotiation and drafting skills for business transactions.Familiarity with compliance requirements for 501(c)(3) organizations.Ability to provide sound legal counsel to boards of directors and executive leadership.Strong organizational skills with the ability to manage multiple projects simultaneously.Excellent written and verbal communication skills.
