Legal counsel for small residential mortgage origination company--only attorney in our legal/compliance team. Company is in Houston, TX, but this position can be remote with quarterly travel to the office. As our sole in-house attorney, you must have a strong background in contracts, general corporate and mortgage regulatory areas and willing to learn other areas of law quickly, as needed.Typical responsibilities include:Review, draft, and negotiate a wide range of contracts, communicate areas of concern with suggested solutions, and participate in negotiating resolutions; this includes, but is not limited to, vendor, confidentiality, loan sale/broker agreements, employment agreements and real estate and equipment lease agreements.Provide legal guidance on contract interpretation and implementation.Manage all responses to subpoenas, including requests for employee and borrower records.Manage litigation, including employee matters, and respond to consumer complaints and other disputes.Manage compliance team efforts including responding to regulatory exams, maintaining policies and procedures, compliance testing, monitoring and communicating new legal requirements, licensing and insurance and provide legal advice regarding regulatory compliance matters.Manage quality control and internal audit functions.Provide legal support for Human Resources issues.Maintain general corporate legal documentation and serve as corporate secretary for 5 affiliated companies.Perform legal research and provide advice regarding legal issues that may arise, consulting with outside counsel on limited basis, as needed.Manage outside counsel expenditures and approve related invoices.Education:Juris Doctor from an accredited law school with license to practice law in Texas.Skills/Experience:5 or more years of legal counsel experience in a major law firm, corporation, or both.At least 2 years mortgage experience.Negotiation skills, and solid ability to make judgment calls during negotiations.Integrity, discretion, and strong analytical and organizational skills and attention to detail.Exceptional interpersonal and communication (verbal and written) skills.Strong work ethic and ability to work independently.Results oriented, effective at managing multiple priorities, ability to prioritize conflicting demands, organize time and resources to deliver consistent results for the business, and bring assignments to successful completion.Solid and efficient drafting skills with knowledge of standard contract administration procedures, concepts, principles, and methods.Ability to understand complex legal and business issues and propose pragmatic solutions.Physical requirements:The job requires working on a computer for approximately 8 hours per day.Seniority level
