What you will be doing

  • Contract Management: Negotiate on behalf of the company in various settings. Draft, review, and negotiate contracts with vendors, providers, plan sponsors, and strategic partners, including master service agreements, statements of work, business associate agreements, and confidentiality agreements. Provide legal advice on contract interpretation and compliance. Collaborate with cross-functional teams to understand business needs and ensure that contractual terms align with organizational objectives. Organize and maintain contract repository, serving as custodian of all pending and executed contracts, and other legal documents. Review existing agreements, summarizing rights and obligations, and managing legal notifications and filings. Ensure contracts comply with applicable laws and regulations.
  • Legal Analysis and Regulatory Guidance: Collaborate with internal departments to understand and address their business needs and to provide regulatory guidance. Research and analyze federal and state regulatory issues including related to telemedicine, virtual care, technology, corporate practice of medicine, healthcare licensure, fraud, waste and abuse, government health insurance programs, and other applicable rules and regulations. Identify and analyze legal issues, assess risks, and provide recommendations and counsel to executive staff and management.
  • Project Management: Develop standard documents and procedures to protect the corporation and minimize risks. Prepare, organize, and maintain legal files and databases. Work independently, managing various legal projects and deadlines, liaising with internal departments, and contributing to the development and implementation of OnMed's policies and procedures. Communicate OnMed's contract policies and requirements to internal managers and employees.
  • Corporate Governance and Entity Maintenance: Manage filings of annual reports and maintenance of other local, state and federal corporate filings. Draft, review and revise governance-related documentation (e.g. bylaws, agendas, consents, resolutions, etc.), as well as corporate policies and procedures.
  • Additional Responsibilities: Handle general legal and administrative tasks, as assigned, and participate in special projects, as needed. Perform such other duties as may be assigned by the General Counsel at their discretion from time to time.

Requirements

What you need

  • Juris Doctorate (JD) degree from nationally recognized law school and qualified bar admission.
  • Minimum of six years of legal experience with law firms and/or companies operating in the health care industry.
  • Strong background in contract negotiation and the healthcare or technology sectors.
  • Expertise in applicable state and federal laws, contract management, and prevalent practices.
  • Strong organizational and time management skills, with the ability to prioritize effectively.
  • Strong analytical and problem-solving skills, with a focus on continuous improvement.
  • Ability to work independently and handle multiple assignments, with attention to detail while managing time effectively.
  • Exceptional interpersonal and communication skills, capable of building collaborative relationships.
  • Familiarity with corporate governance matters, legal database software and document management systems, a plus.

The base salary range for this role is $150,000 - $160,000 commensurate with the candidate's experience.
