A prestigious law firm based in San Francisco, CA , specializing in corporate law, including private equity and mergers & acquisitions (M&A) is seeking a Corporate Legal Assistant to join the emerging Corporate department of the firm.
Job Responsibilities:
- Provide administrative and legal support to attorneys specializing in corporate law, private equity, and M&A transactions.
- Assist with the preparation, review, and organization of corporate documents, including agreements, due diligence materials, and closing binders.
- Coordinate and track deal documentation, filings, and regulatory requirements.
- Conduct research related to corporate transactions, compliance matters, and industry regulations.
- Manage attorney calendars, schedule meetings, and coordinate logistics for corporate transactions.
- Facilitate document execution, notarization, and filing with relevant government agencies.
- Organize and maintain corporate records, minute books, and other essential legal documents.
- Communicate professionally with clients, opposing counsel, and regulatory agencies.
Qualifications:
- Minimum of 3 years of experience as a Corporate Legal Assistant in a law firm or corporate legal department.
- Experience supporting attorneys in private equity and M&A transactions.
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook) and legal document management software.
- Strong understanding of corporate legal procedures, transaction documentation, and regulatory filings.
- Excellent written and verbal communication skills.
- Strong attention to detail and organizational skills.
- Ability to manage multiple priorities, work under pressure, and meet deadlines.
- Familiarity with SEC filings, UCC searches, and corporate governance is a plus.
