Job Description

As a Legal Counsel specializing in Global Commercial Contracts, you will play a pivotal role in safeguarding our company's interests by providing expert legal advice and support across a wide range of commercial transactions. You will be responsible for drafting, reviewing, negotiating, and advising on complex commercial contracts, ensuring compliance with applicable laws and regulations, and mitigating legal risks.


Responsibilities:


Contract Drafting and Negotiation:

  • Draft, review, and negotiate a variety of commercial contracts, including but not limited to purchase agreements, sales agreements, distribution agreements, licensing agreements, service agreements, and non-disclosure agreements.
  • Provide legal advice and guidance on contract terms, conditions, and clauses to ensure they align with our business objectives and mitigate legal risks.
  • Collaborate with cross-functional teams (e.g., sales, procurement, business development) to understand their needs and provide tailored legal solutions.

Risk Assessment and Mitigation:

  • Conduct thorough legal due diligence on potential business partners and transactions.
  • Identify and assess legal risks associated with commercial contracts and develop strategies to mitigate them.
  • Advise on compliance with applicable laws and regulations, including antitrust, data privacy, and export control laws.

Contract Management:

  • Develop and implement contract management processes and procedures.
  • Monitor and track contract performance to ensure compliance with contractual obligations.
  • Provide legal support for contract disputes or claims.

Legal Research and Analysis:

  • Conduct legal research and analysis on a wide range of commercial law topics.
  • Stay up-to-date on legal developments and industry trends that may impact our business.


Qualifications:

  • Juris Doctor degree from a reputable law school.
  • Minimum of 3 years of experience practicing law, preferably in a corporate or commercial law setting.
  • Strong understanding of global commercial law principles and best practices.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to work independently and as part of a team.
  • Strong attention to detail and organizational skills.
  • Excellent communication and interpersonal skills.
