Key Responsibilities :

• Assist in the negotiation, drafting, and review of licensing agreements, commercial contracts, and M&A documentation.
• Conduct due diligence and provide support on transactions, ensuring compliance with legal requirements and client expectations.
• Advise clients on contract interpretation, regulatory issues, and strategic business decisions.
• Collaborate closely with senior attorneys and partners on high-profile M&A and licensing matters.
• Prepare and review complex corporate and commercial agreements, including non-disclosure agreements (NDAs), joint ventures, and supply agreements.
• Assist in the development and implementation of corporate governance frameworks.
• Monitor and stay updated on regulatory developments affecting commercial transactions and corporate governance.
• Provide support in managing client relationships and addressing legal concerns.

Qualifications :

• Juris Doctor (JD) from an accredited law school.
• At least 2 years of experience in licensing, commercial contracts, and M&A law, ideally from a top-tier law firm.
• Strong understanding of corporate and commercial law, including experience with regulatory compliance and contract negotiations.
• Exceptional legal writing, research, and communication skills.
• Ability to handle complex legal matters with a high degree of independence and professionalism.
• Excellent interpersonal skills and the ability to collaborate in a team-oriented environment.
• Strong attention to detail and organizational skills, with the ability to manage multiple projects simultaneously.
• Admission to New York Bar.
