Job Summary

Valpak is seeking a General Counsel to serve as the key legal advisor for the organization. This role includes reviewing and drafting contracts, managing legal matters related to employment and contract law, and ensuring compliance across the company and franchise network. The General Counsel will provide strategic legal guidance, support potential M&A transactions, and proactively develop operational solutions that align with business objectives.

Primary Responsibilities:

• Review, draft, and negotiate contracts to ensure compliance and risk mitigation.
• Handle legal matters related to employment law, contract law, and franchising regulations.
• Serve as a strategic partner to leadership by offering actionable legal advice that supports operational goals.
• Provide guidance on potential M&A transactions and other corporate initiatives.
• Develop creative, business-focused solutions to legal challenges, balancing risk with opportunity.
• Advocate for the company’s interests while collaborating with internal teams and franchisees.

Primary Skills & Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Active bar admission in at least one U.S. jurisdiction.
• Minimum of 2 years of legal practice, with experience in contract review and employment law.
• Strong operational mindset, capable of providing practical, actionable legal advice.
• Experience in franchise law, particularly with organizations managing 50+ franchise locations (preferred).
• Knowledge of M&A transactions and corporate legal strategies (preferred).
• Solutions-oriented approach to navigating complex legal challenges.
• Effective communicator, able to simplify and explain legal concepts clearly.
• Strong problem-solving and advocacy skills with a business-focused mindset.
• Collaborative, adaptable, and strategic thinker with leadership capabilities.
