The ideal candidate will have a strong background in corporate law, excellent negotiation skills, and the ability to provide strategic legal advice to both established corporations and emerging start-ups.Key Responsibilities:Mergers & Acquisitions (M&A):Conduct due diligence and assess financial, legal, and operational aspects of target companies.Draft, review, and negotiate M&A agreements and related documents.Advise clients on transaction structures, regulatory compliance, and risk management.Coordinate with internal and external stakeholders to ensure smooth transaction processes.Start-Up Formation:Assist start-up companies in selecting appropriate business structures (e.g., corporation, LLC).Draft and file formation documents, including articles of incorporation and bylaws.Provide guidance on intellectual property protection, employment law, and regulatory compliance.Advise on fundraising strategies, including venture capital and private equity.General Corporate Law:Draft and review contracts, including partnership agreements, vendor contracts, and employment agreements.Ensure compliance with applicable laws and regulations.Provide ongoing legal support and strategic advice to clients.Qualifications:Juris Doctor (JD) degree from an accredited law school.Admission to the state bar in one or more of the firm's locations.Minimum of 5 years of experience in corporate law, with a focus on M&A and start-up formation.Strong analytical, negotiation, and communication skills.Ability to work independently and as part of a team.Locations:Atlanta, GAChicago, ILDenver, COLos Angeles, CANapa Valley, CANashville, TNOrange County, CAPortland, ORSacramento, CASalt Lake City, UTSan Diego, CASan Francisco, CAScottsdale, AZSeattle, WAInterested in hearing more?
