MacGregor Black are partnering with a Retail business on the search for a Assistant General Counsel. This is a permanent role based in New York.
Key Responsibilities
- Legal Strategy & Compliance: Develop and implement legal strategies to align with business objectives while ensuring compliance with federal, state, and international laws.
- Corporate Governance: Advise the board of directors and senior leadership on governance matters, regulatory issues, and corporate policies.
- Risk Management: Identify and mitigate legal risks related to business operations, contracts, and regulatory compliance.
- Contracts & Transactions: Oversee the drafting, negotiation, and review of key contracts, agreements, mergers, acquisitions, and other corporate transactions.
- Litigation & Disputes: Manage litigation, arbitration, and regulatory investigations, including coordinating with external counsel.
- Employment & Labor Law: Ensure compliance with labor laws, handle workplace disputes, and oversee company policies related to employee matters.
- Intellectual Property & Data Privacy: Safeguard company assets, trademarks, patents, and data privacy compliance.
- Regulatory & Compliance Oversight: Ensure adherence to industry-specific regulations (e.g., SEC, FDA, GDPR, HIPAA).
- Team Leadership: Lead and mentor the legal department, including Assistant General Counsel and external legal partners.
What are we looking for?
- Education: Juris Doctor (JD) degree from an accredited law school.
- Experience: 10+ years of legal experience, including in-house counsel and/or law firm experience.
- Proven expertise in corporate law, compliance, and risk management.
- Strong leadership and decision-making skills.
- Excellent communication, negotiation, and problem-solving abilities.
- Ability to handle complex legal matters and work in a fast-paced environment.
- Licensed to practice law in the relevant jurisdiction.
