Our client’s top-tier, nationally recognised Corporate/Securities Group is seeking a talented and experienced Corporate Partner to join their New York office. The firm specialises in delivering high-value results on high-stakes transactions for a diverse range of public and private companies, investors, and underwriters. Responsibilities:
- Lead and manage all aspects of corporate transactions, including mergers and acquisitions, divestitures, restructurings, and financings.
- Advise public and private companies, boards of directors, investors, venture capitalists, and private equity sponsors on corporate governance, compliance, and disclosure matters.
- Negotiate and structure IPOs, SPACs, private placements, credit facilities, debt offerings, and joint ventures.
- Collaborate with the firm’s integrated teams, including Tax, Real Estate, Employment, Bankruptcy, and IP, to address complex transaction issues.
- Assist clients in resolving high-stakes disputes, working alongside a powerhouse litigation team when necessary.
Qualifications:
- Juris Doctor (JD) from an accredited law school and active New York Bar membership.
- Extensive experience in corporate and securities law, with significant experience in M&A, corporate governance, and capital markets.
- Demonstrated ability to manage complex transactions from start to finish, including drafting and negotiating agreements.
- Strong understanding of securities laws, compliance regulations, and corporate governance practices.
- Exceptional client management skills and a proven ability to build and maintain strong business relationships.
